Here are some excerpts:

NGS3 pursuant to the Development Agreement and for the period of time in between the
Development Agreemcnt and the Operating Agreement and all License Fees and License
application and processing fees for the initial License, in exchange for a 62.5% Percentage
Interest:

(b) NGS3 will contribute the Technology and associated IP. business plan and
expertise in exchange for a 28.5% Percentage Interest.
3.3 "Additional Membership Interests" will be issued as follows:

(a) 5% to the CEO of Pala Interactive: and

(b) 4% to PBMI designated Management.

(c) The Additional Membership Interests will be subject to customary vesting
and other provisions in order to avoid adverse tax consequences to additional Members. the
Additional Membership Interests will be structured as profits interests which will entitle the
Additional members to participate in operating profits and any increase in the equity of Pala
Interactive beyond the initial $100M Capital Contributions through ongoing "Distributions
from Operations" and "Distributions from Capital Transactions'" as defined below.

d) The Board of Directors will have authority to issue additional Membership
Interests in the future, for such consideration and upon such tenns and conditions as they shall
deem prudent, subject to the consent and approval of a Super Majority of the Board andlor the
Members, as further described below. To the extent additional Membership Interests are Issued
in the future, beyond the CEO and PBMI Management contemplated above. all Membership
Interests will be proportionally diluted; provided NGS3's 28.5% interest shall not be subject to
dilution. unless and until PBMI( has contributed its full $70M Capital Contribution.

(d) Profit Sharing Interests. It is anticipated that Pala Interactive will
establish a phantom stock or other profit sharing plan (the "'Phantom Plan") for key employees
and/or Independent Contractors, pursuant to which those employees will also share in
Distributions of Distributable Cash from Operations and Capital Transactions in accordance
with their respective interests in the Phantom Plan.

3.5 Management. The day to day business and affairs of Pala Interactive will be
managed and conducted by the Managers/Directors. who will function as a Board of Directors.

(a) There will be 5 Directors, 3 to be appointed by PBMI (one of whom will
be the Chairman of PBMI) and 2 to be appointed by NGS3. Generally. decisions of the Board
will require the consent or approval of a majority of the Directors. However, certain "Key
Decisions" will require the consent or approval of "Super Majority" (4 of 5) Directors.
#
(b) The Operating Officers of Pala Interactive are set forth below. Each
Officer will receive a salary and may be eligible to participate in the Phantom Plan~ in
accordance with policies and guidelines to be adopted by the Board. The specific responsibilities
and authority of each Officer will be determined by the Board as well.

Does this mean that the persons working for Pala Interactive have reduced there salaries at the casino so as not to be double dipping into our tribal funds? Is it legal for them to be working for two different companies at the same time and charge us for the time that they are not working for us? Smells like a big steal if you ask me.

LOL! Reduced Salaries? Not a chance. The Pala Interactive Deal is a reward for Pala Casino GM Bill Bembenek and CFO Shawna Anton for helping Robert Smith skim hundreds of millions of dollars from the Casino.

I don't know why you call it "our tribal funds". The Band gets the reported net revenue. This is what is left over after Robert Smith takes his cut. The net revenue is then supposedly distributed according to the Revenue Allocation Plan that is submitted to the BIA. Does this agree with the net revenue that is reported to the NIGC? No one knows because there is no verifiable financial report given to the General Council.

All the income that is generated by the Casino and the Hotel is called the gross revenue. The gross revenue is a plaything. There is a first skim of all the cash tables. Then the gross revenue gets adjusted through various deductions. Some deductions are legitimate, like operating costs, employee salaries, maintenance and upgrades, marketing and promotions. Other deductions are not so legitimate, like the operating costs for Pala Interactive, lobbying for legislation to approve tribal gaming in California, contributions to political issues and campaigns, bribes, payouts, comps to Pala EC members, and more.

Your question is whether or not it is a conflict of interest for the manager and CFO of Pala Casino to work for Pala Interactive. Such terms would be stipulated in their employment agreements. My guess is that it is not a conflict of interest.

However, there is a conflict of interest for the Pala EC members to sit on the board of directors for Pala Interactive, and to act as the Management Board of the Pala Gaming Authority. The Pala EC are elected officers of the tribe. It is illegal for them to perform management functions at the casino according to the IGRA. They are also supposed to act as representatives of the Band and not to use their positions for personal gain.

Pala members would have to take some action to stop this. I am not holding my breath for this action.

Yes, it will be "yuuge" and it will be going to Bill Bembenek, Shauna Anton who'll get double bonuses from the Casino Revenue. So will all the members of the Board of Directors, which include Robert Smith, Teresa Nieto, Shelia Smith, along with their other "yuuge" bonus from the Pala Tribal Gaming Authority (you know the TGA gets to play with all the money before it filters down to the PBMI---Pala Tribal members don't need to worry, know one knows or cares because their precious money buys them ALL happiness and contentment!)

I heard from someone that was just re-elected is there is no money in the reserve and that Robert and Theresa are trying to pull all the money together to give a bonus so it might be givin a week late.

See what happens when you give more power to the EC, no money in the reserve for a Christmas Bonus. They had a whole fucking year to prepare for this bonus.
Well maybe at the next meeting you should just give the EC the remaining power that you have left so the Tribe can file for Bankruptcy.
It's funny how He has no problem giving your money to the DA, the School Districts and corrupt Lawyers, but when it come time to give to the Members for a Christmas bonus there is no fuckin money for the members. Is this OK with you.
Certain people have tried to do the right thing concerning the Tribe
but as a united membership you people don't do shit about the EC, and no one suffers for this more than the members themselves. So what's next, are you going to take a cut on your per capita to pay the EC wages? You people are very, very blind and one sided when it comes to Robert and Theresa Smith.
The next move will be to file for chapter 13 and close the casino and no one is to blame but you the General Membership.
Where is the millions that Nieto said were their from the Warner Springs purchase. And the trust funds from the minors that she says are their? Just a bunch of fuckin lies.
Sell some of the damn security vehicles and Maxceys jet.

So a $10k bonus per member costs about $1.4 million. That is less than it cost for a month of the disenrollees per capita. That is less than the legal fees for umpteen lawyers. Less than what it costs to run Pala Inreractive. Less than what it costs to buy land to put into trust for the Pala Luisenos. Less than what it costs to hanger and maintain 3 jets.

Shows what the priorities are.

I do not like the comments that pala Rez posts, however I do agree with his last post. Members can't be afraid to stand up for there rights. Everyone know Robert is corrupt but everyone is to afraid to do anything about it. If we band together we can force Robert out. Im not talking about violence. And if you are turned down for the agenda, then go around and talk the members one on one and get their input on issues of concern.

Yes, Palarez and her buddies are all bragging about their new cars, enrolled tribal members secretly feel gleeful when news of impending disenrollments come up, counting all the extra "reasons" why they dont care. What hypocrites they all are, walking around masquerading as though they were more important than everyone else in the "have not" group. Its funny, the more time passes, the more clear it becomes that it really was all about the money. The emergency meeting that they had was a great idea, but they should have had it when Robert and company were out of town. They go away a lot, the next time he goes to Ireland, call an emergency meeting, or maybe when he is in the hospital. It has to be done when he is out of town though, because he will come back with the evil trick he did last time. It is sad to see how many good people of Pala have been hurt by Robert, Theresa, Dion, Leroy, and even Kilma. So sad. The evil that has perpetuated itself among the Kronies is just abhorrent, the things they say to the disenrolled or to anyone who sticks up for them is disgusting, cruel, and heartbreaking. The eviction of people who have immediate relatives on the Reservation making it so they cannot visit them, is ridiculous, uncalled for, and amoral. It's really to bad that the Members will never get a true statement as to how good the Interactive thing is doing.
Nieto and Smith will keep it to themselves as to how much money the online business is making.
I mean look how Nieto gives the statements on the Casino. They never change and are always stated as a "FLAT MONTH".
No one has any idea how much money is in certain accounts, like eco. development, General welfare, or any other account.
I believe that there will never be a true statement until we have an audit done then the Members will see what we have been talking about as far as the money being spent and other monies that are not accounted for by anyone.

QUESTION ?
Can anyone make a motion at the next meeting to have any and all spending over a certain limit must be approved by the Membership.
In other words can a "CAP" be put into place for the spending of Tribal Funds being that it is Funds that belong to the Pala Band of Mission Indians, and not the Executive Committee.
Maybe any thing over 20,000 dollars must be approved by the General Council before being spent for any reason.

He just spent over 5 million dollars for an RV park that will never make a profit in our life time. And it's money that could of, and should of been spent on Tribal Members for the betterment of the Tribe. Or been spend for a nursing home to be built for the Members.
Instead he is building this playground for campers.
